QUESTION 1 – 8 Pоints Michigаn Heаters mаnufactures persоnal hоme heating units sold throughout the United States.   Michigan has developed a new line of home heating units that runs on electricity but uses substantially less energy than those units sold by its competitors.   The new Michigan heaters have given Michigan a competitive advantage over its competitors.  One of Michigan’s largest competitors is Ohio Home Heating.   Ohio has hired engineers to figure out how the Michigan process work, but so far Ohio has been unable to figure out the Michigan process.  Michigan has a manufacturing plant located in Marquette, Michigan where it conducts all of its manufacturing.  Michigan requires all of its employees to sign strict confidentiality and non-disclosure agreements.   Only five upper management employees have full knowledge of the Michigan process.  The manufacturing facility is locked at all times and requires a special pass and a security code to enter.  There are written plans describing Michigan’s new line of units and the mechanism that gives them their competitive advantage.  Those plans are saved on the company computer, which is passcode protected.  All of those plans are labeled: “Property of Michigan Heathers: Confidential.  Unauthorized Use Prohibited”.  The server is protected against outside access and only the owner and Chief Technical Officer of Michigan has access to those plans.  Because of a malfunction with Michigan’s secure server (which malfunction was beyond Michigan’s control), the Michigan manufacturing process was accidentally released via email to several of Michigan’s clients and competitors including C.  Michigan immediately notified all of the recipients of the mistake and asked for the return and destruction of any information received.   Ohio immediately made copies of those plans and has used the manufacturing plans to begin building a manufacturing facility utilizing Michigan’s process.        Michigan has sued Ohio under the Uniform Trade Secrets Act.  Ohio has defended on the basis that (A) the manufacturing process does not constitute a trade secret and even if it does, (B) Ohio did nothing wrong in the manner in which it accessed the process because the plans were made available to it by accident from Michigan’s computer server.      Required-8 Points:  In separate sections labeled (A) and (B) corresponding to the defenses raised by Ohio in the prior paragraph, discuss whether Ohio will be successful in its two defenses under the Uniform Trade Secrets Act.
