          The third matter on your desk is a notice from the European Union competition law authorities.  The notice announces the opening of an investigation into (i) whether WPS' distribution and licensing agreements with its former German distributor violated Articles 101 and 102 of the Treaty on the Functioning of the European Union (TFEU), and (ii) whether WPS' subsequent acquisition of the former distributor violated Article 102 of the TFEU and Council Regulation (EC) No 139/2004.           WPS' distribution agreement with the German company included the following provisions:    The German company was prohibited from selling WPS products to buyers outside Germany, and its website was required to block online sales to shipping addresses or with billing addresses outside Germany; and furthermore, The German company was required to sell WPS products at no less than 90 percent of their price in the United States.           WPS' licensing agreement with the German company included the following provision:   If the German company adapts WPS' technology for its own line of products, it must transfer the patent rights to those adaptations to WPS free of charge.           WPS acquired its German distributor to better control WPS' own technology, including future inventions, and to acquire the German company's technology to create a comprehensive line of products in wind power generation.  Before the acquisition, the German company had the largest share of the German market for wind power generation, and the combined product line would be a formidable competitor in the EU single market.  WPS planned to terminate its exclusive distributorships in other EU member states as those agreements came up for renewal and to have its new German subsidiary handle the entire EU market.           Essay Question 2(c):  What is your analysis under EU competition law of (i) WPS' agreements with its former German distributor and (ii) of WPS' acquisition of its German distributor as its new German subsidiary?
