ESSAY 70 POINTS Mаgnetic Mediа, Inc. (MMI) is а manufacturer оf thumb drives fоr persоnal computers. In September 2021, MMI sent out an announcement to several hundred retailers. The announcement described MMI’s new, premium thumb drive which they named SuperDrive and listed prices at $25 per box of 10 for orders of 100 or more boxes. We are not making an offer; this is only an announcement.” Ben Binary, the purchasing manager for CompuWorld, the largest computer retailer in Backus, was always skeptical about new product claims. He read the MMI announcement and decided to put the SuperDrive thumb drives through some rigorous testing. At the conclusion of the tests, he was convinced that the SuperDrive thumb drives were the best available and that they were an exceptional value. He decided to place a large order and to feature the thumb drives as a special item, after marking them up to $30/box of 10, in the CompuWorld stores. Binary filled out one of CompuWorld’s purchase order forms, dated it October 4, and faxed it that day to MMI. He ordered 1,000 boxes of the SuperDrive thumb drives at $25/box for a total order of $25,000. The CompuWorld form provided “this order is with the understanding that by accepting this order the supplier (MMI) agrees to all of the terms and conditions printed on the reverse side hereof.” Among the provisions on the reverse side of the order was a clause stating that “delivery of the goods within thirty days of the date of the order is required. If delivery occurs after the deadline, the supplier MMI will pay to buyer (CompuWorld) liquidated damages in the amount of one percent (1%) of the amount of the order for each day beyond thirty days. CompuWorld may deduct the amount of any liquidated damages due from the amount payable upon receipt of the goods.” MMI received the order on October 6 and immediately mailed an acknowledgement form to CompuWorld. MMI’s form confirmed receipt of the order and agreed to sell 1000 boxes of the SuperDrive thumb drives at $25 per box to CompuWorld and stated that the goods would be shipped promptly. It also stated that “our acceptance is expressly conditional on your agreement to the following terms and conditions” including the following provision: “MMI will not be responsible for damages occasioned by delay in delivery of the goods ordered.” MMI could not keep up with the demand. CompuWorld’s shipment did not arrive until November 24, 20 days after the thirty-day deadline. Binary was pleased to receive the SuperDrive thumb drives but upset about the delay. He directed the company treasurer to make a check payable to MMI for $20,000 ($25,000 minus 1% for each day of delay). MMI has just received the $20,000 check, accompanied by Binary’s letter expressing enthusiasm for the quality of the diskettes but suggesting that MMI should “get its act together” and deliver on time.
