QUESTION 3 – 7 Pоints Assume thаt Melissа аnd Finn (frоm questiоns 1 and 2 above) were able to settle their disputes.   As part of the sale of Melissa’s business to Finn, the sale contract included a provision that Melissa  would assign to Finn a copy machine equipment contract that Melissa had with Xom Copy Company.  The lease contract that was entered into between Melissa and Xom called for monthly payments of $1,200 to Xom for the lease of the copy machines located at Accurate’s office.  At the time of the sale of Melissa’s business to Finn, the Xom contract still had four years left on its original six-year term.   The Melissa/Xom contract was assigned to Finn and Finn agreed to assume the contract and abide by its terms and conditions.  The Xom contract with Melissa included the following provision:  “This contract shall not be assignable by Melissa without the prior written consent of Xom.”  Melissa and Finn did not notify Xom of the assignment.  After Finn purchased the business, he paid the Xom lease for one year.   At the end of that year Finn determined he could get a better deal with another company and he stopped paying the lease with Xom.   Xom has now sued both Melissa and Finn for amounts owed under the contract.       REQUIRED (7 points):  In separately lettered or numbered paragraphs answer the following questions:  4 Points – Finn asserts that he is not liable because the lease included a provision stating that the contract was not assignable? Both Maxey and Embiid signed the amendment. Embiid began paying $5,000 per month. After several months George approached Maxey and indicated that he really wants Embiid’s apartment and is willing to pay $7,500 a month in rent.  Maxey now wants out of the lease and lease amendment he entered into with Embiid so that he can rent to George at the higher rent. Maxey sent Embiid a letter telling him that the amendment was unenforceable because it lacked consideration. Embiid does not want to leave the apartment. REQUIRED (5 Points): Is the lease amendment an enforceable modification? Discuss.
