A biоtech stаrt up firm secured а lоаn frоm a private investor to purchase land and to build a laboratory facility on that land with a mortgage on the land and the facility.  Subsequently, the firm sold the developed property to a partnership.  The deed stated that the partnership took the property subject to the mortgage.  Later, the partnership sold the developed property to a corporation.  Each deed was properly recorded promptly after its applicable closing.  Immediately after closing, the president of the corporation, in exchange for adequate consideration, promised the partnership that the corporation would assume the mortgage.    For four months, neither the corporation nor the previous owners of the facility made the required monthly payments on the mortgage obligation to the lender.  The lender has filed an action against the corporation for the past due amounts.    Is the corporation liable for these amounts?
