They have entered into an agreement to source higher quality coffee from Starbucks that will allow then to re-brand the beans as “Dutch Brothers.” The brothers propose that Will join their board of directors, and that they will pay him a consulting fee of $7,500 per month to advise on location, design, operations, marketing, and coffee quality. Because the coffee company that Will currently works for (on the team of Marta and Eddy) does not operate in the retail space, he sees no problem with accepting the offer. In fact, he advises the brothers that he will be a good fit because he knows “a lot about the ins-and-outs of the coffee business.” Will accepts. Do you see any legal issues here?
