Attоrney Angelа, а licensed Cаlifоrnia lawyer, is apprоached by Client Chloe to represent her in a contract dispute against TechCorp, a technology company.  During their initial meeting, Chloe shares confidential information about her role in negotiating a critical contract for TechCorp, which she believes strengthens her claim in the dispute. Chloe agrees to hire Angela, and they enter into a contingency fee agreement in which Angela will receive 40% of any recovery.  The agreement is not documented in writing, as Angela assures Chloe that a verbal agreement suffices. While working on Chloe’s case, Angela meets Charlie, TechCorp’s CEO, at a professional fashion industry networking event.  The two become fast friends, impressing each other with their unique styles.   Charlie learns about Angela’s side business (a clothing company), and offers to invest $50,000 in it in exchange for a 10% ownership stake in the startup.  To demonstrate her gratitude, Angela says, “We’re business partners now! Consider me your lawyer on all things fashion!” Angela informs Chloe of Charlie’s investment proposal, and reassures Chloe the deal won’t affect her representation of Chloe, because even though Charlie is TechCorp’s CEO, the clothing business has nothing to do with her case.  Chloe doesn’t know Charlie, and she trusts Angela.  And since TechCorp is such a big company, she doesn’t mind, and verbally consents to Angela representing Charlie on all things fashion. Subsequently, TechCorp’s general counsel, Allison, contacts Angela and asks her to represent TechCorp in an employment dispute against a former employee, Emma. The employment dispute is unrelated to Chloe’s contract dispute.  Again, Angela believes she can represent both Chloe and TechCorp since they are unrelated matters.  Also, since she already had Chloe’s verbal consent from before, she didn’t obtain written consent again from either Chloe or TechCorp. During discovery in Chloe’s case, Chloe confides in Angela that she plans to submit falsified documents to strengthen her claim against TechCorp, which, if successful, would likely cause TechCorp a $200,000 financial loss. Angela advises Chloe against this course of action.  Angela then calls TechCorp’s general counsel to give them a blanket warning about checking documents on all cases to guard against document fraud (falsified documents). What ethical violations, if any, has Attorney Angela committed? Answer according to California and ABA, and note any difference if any.
