On Jаnuаry 1, 2024, Mаbel Munther launched a new mоbile manufacturing cоmpany called Mоxy Mobile Manufacturing in Galveston, Texas. She focused on building double-wide mobile homes that feature the most recent modern conveniences. To ensure the high quality of her mobile homes, Moxy purchases steel chassis from Classy Chassis. Moxy is aware that the steel chassis is the critical part that serves as the structural and transportation platform for mobile homes since it requires specialized welding, steel sourcing, and engineering expertise. Impressed with Classy’s reputation for high quality, Moxy promises Classy in a phone call that if it produces and sells its steel chassis exclusively to Moxy for the next three years, that Moxy use no other steel chassis subcontractor and that it will pay Classy 15% of every mobile home that Moxy sells. The homes are sold between $65,000 to $100,000. They never enter a written agreement, but Classy agrees to the arrangement through an email confirmation. The parties perform their part of the arrangement without a hitch through mid-July. On July 15, 2024, Hurricane Harold tragically strikes the Gulf Coast of Texas, causing massive flooding and destruction of thousands of homes. Suddenly, there is a 300% increase in demand for mobile homes along the Texas Gulf Coast. Due to this unforeseen spike in demand, on August 1, 2024, Classy contacts Moxy and states that if it must keep up with all Moxy’s increased orders for chassis, Moxy must increase Classy’s take from each sale from 15% to 25% for the remainder of their three-year agreement. Wanting to keep up with the high demand, Moxy agrees. There is still no written agreement. The parties continue to uphold their side of the deal for the remainder of 2024. By January 1, 2025, Moxy continues to see a boon in its business, but seeing 1/4th of its revenue go to a chassis subcontractor since August 1, 2024, is disappointing. Mabel, Moxy’s owner, contacts you, her long-time lawyer, to ask you the following questions: Mabel is wondering what arguments Moxy could make to challenge the original contract with Classy Chassis. What counter-arguments do you anticipate that Classy could make? Mabel is wondering what arguments Moxy could make to challenge Classy’s increased proportion from 15% to 25% of the gross revenue. Mabel mentions that she is about to launch a subsidiary company called Mabel Manufacturing to handle 50% of its mobile home business (which covers its business outside Texas) using a different steel chassis subcontractor, Patsy’s Chassis, under an arrangement in which Patsy’s Chassis would receive 10% of the gross revenue from the sale of mobile homes that contained its chassis. This would clearly undercut Classy’s projected revenue. Is this legally permissible? What claim(s) could Classy Chassis make against Moxy if it were to launch such a subsidiary? What damages could Classy ask for?
