Believing the gift bags will look “cheap,” ElitePet immediately rejects the shipment in writing, stating the goods are “unconforming” and the new charge violates their longstanding agreement. To avoid missing the dog show deadline, ElitePet urgently contracts with GroomGlitz, another premium shampoo manufacturer, purchasing a substitute product for $70,000. After the show, ElitePet files suit against ShampooCo for breach of contract, seeking damages.
