A client is receiving ABA therаpy in the hоme setting аnd schооl setting. The ABA teаm is currently teaching manding through PECS to their non-vocal client. At home, parents are a great support system, which has in turn led to a lot of success with the PECS program. At school, the client’s teacher does not like the use of PECS and wants the client to learn to mand vocally. This has led to a reduction in acquisition rates of appropriate manding at school. Poppy Patson is an officer, V.P. of Innovation, at Glory Linens And More Corporation, which manufactures and sells bedroom and bathroom linens (sheets, towels, etc.). Glory Linens And More is incorporated in, and does business in, Hendersonville, Tennessee. While at a product idea conference in Nashville, Beth approaches Patson with a new product idea – a self-drying towel – and Patson states that Glory Linens And More would be interested. However, rather than purchasing the patent from Beth and presenting the idea to the Glory Linens And More board, Patson secretly sends the sample self-drying towel to a foreign country, has it copied and manufactured, puts a new name on the towel, and sells it under the corporate name Patson Incorporated. Patson has committed the tort of patent infringement, along with, perhaps, other violations of the law. Explain (name and define) TWO specific duties of loyalty, that are discussed in the lecture and textbook that Patson has violated. Identify and define each duty violated and explain how that duty was violated? Citation to the assigned textbook chapter is required. Beth decides to sue Patson Incorporated for theft and patent infringement, and wins a $1.5 million judgment, then asks the court to hold Patson personally liable by piercing the corporate veil. During discovery, Beth learns that Patson Incorporated maintains no assets, and seems to be used solely for Patson to collect profits from the sale of the towel, which he then transfers to his personal checking account. RULES/APPLICATION/CONCLUSION: YOU ARE THE JUDGE. Will you hold Patson personally liable? Why, or why not? Identify the rules you are applying and your answer must include case law support. Once you have identified the Tennessee case (by full name and year) posted in the Week 11 Course Content folder that would be binding on our case, your answer must show how the facts and holding (not the outcome, but the rule of law the court created) of that case supports your conclusion/holding as to whether Patson will be held personally liable. Proper citations to lecture or textbook, and the case, are required (see instructions above for proper citation format).
