A seller in Mоnterrey, Mexicо signed а written cоntrаct for the internаtional sale of coffee with a buyer in Austin, Texas. The parties signed a destination contract for a set delivery date at a warehouse in Laredo, Texas for 500 tons of high grown Mexican Altura coffee at the price of $10 per pound. The contract form used was that of the Green Coffee Association of New York City which provides for mandatory arbitration in the event of a dispute. The contract requires that the 500 tons be delivered in a complete shipment not in partial lots. Only 400 tons of coffee are delivered before the due date. The buyer's warehouse agent refuses to accept the partial shipment. Prior to the delivery date specified in the contract, the buyer sues the seller in federal court in Austin for anticipatory breach to terminate the contract, to declare the arbitration clause unenforceable under the UCC because it is unconscionable and asks the court to award damages to purchase the 500 tons of Mexican Altura coffee at the now higher market price.
