Nоrthern Pаssаge Cruises (“NPC”) оperаtes luxury cruise ships that travel alоng the southeastern coast of Alaska each summer. One of the most popular activities for cruise passengers visiting Juneau is helicopter sightseeing over nearby glaciers. For several years NPC relied on Glacier Crown Tours, a helicopter operator in Juneau, to provide these excursions. However, Glacier Crown filed for bankruptcy in early 2026. On March 1, 2026, NPC’s Director of Shore Excursions, Maria Holt, telephoned Summit Air Tours, a small Juneau-based aviation company that operates a fleet of six helicopters. During the call, Holt told Summit Air’s owner, Daniel Kessler, “We need a reliable helicopter partner for the coming cruise season. If Summit Air agrees to handle helicopter tours for our guests from May through September, we will exclusively recommend Summit Air to all NPC passengers visiting Juneau. In return, your company will provide helicopter glacier tours for our guests at your standard group rate.” Kessler replied: “That works for us. We’ll reserve helicopters and pilots specifically for your cruise guests.” Both sides expected the arrangement to last for the 2026 cruise season, and Summit Air immediately began preparing for the influx of passengers. Summit Air hired two additional pilots, leased an extra helicopter for the summer, and declined several tour requests from other travel companies in order to reserve capacity for NPC guests. NPC ships began arriving in May, and Summit Air provided helicopter tours for hundreds of cruise passengers. On June 1, 2026, a significant earthquake struck the Juneau region. A resulting tidal surge severely damaged one of NPC’s ships docked in the harbor, forcing it out of service. Hundreds of passengers were stranded in Juneau. NPC urgently asked Summit Air for help transporting passengers by helicopter to nearby airports so they could board replacement flights or connect with another cruise vessel. This emergency transportation was far beyond the normal sightseeing operations originally contemplated. Kessler initially hesitated, explaining that Summit Air would have to cancel previously scheduled tours and devote nearly all of its aircraft and pilots to NPC’s emergency needs. Holt responded, “If Summit Air helps us through this crisis, NPC will take care of you. We’ll expand our promotion of Summit Air tours, highlight your company as our official helicopter partner, and continue recommending you for future cruise seasons.” Relying on these assurances, Summit Air devoted most of its helicopters and staff for the next two weeks to transporting NPC passengers. Summit Air canceled numerous scheduled tours with other customers and incurred significant additional expenses. By late summer the crisis had passed. Summit Air continued operating helicopter tours for NPC guests through September. However, in November 2026, NPC’s president announced that beginning the next cruise season, NPC would partner with Aurora Glacier Aviation, another helicopter tour company. Aurora Glacier Aviation happened to be owned by the father of the woman recently engaged to NPC’s president’s son. NPC informed Summit Air that it would no longer recommend Summit Air tours to cruise passengers. Summit Air claims that NPC’s decision devastated its business because a large portion of its seasonal revenue had depended on NPC referrals. Summit Air files suit against Northern Passage Cruises for breach of contract. Discuss all viable claims and defenses arising from these facts. Do not assume any additional facts.
