Fred Franchisee owns and operates three Dunkin' Donuts ("Dunkin") stores, one in Oklahoma, City one in Edmond, Oklahoma, and one in Moore, Oklahoma.  He has entered into a detailed "agreement in principle" (the Agreement) with Dunkin to open a fourth franchise in Norman, Oklahoma.  The Agreement, which has a merger and integration clause, sets out the terms of the franchise agreement, which are more-or-less identical to the terms governing his three other franchise agreements.  Fred had entered into similar agreements with Dunkin before opening his prior three stores.  With the exception of the final sentence, which was new, each prior agreement contained the following language, which was also included just above the signature line of the Agreement. Good Faith Negotiation. The parties agree that that they shall continue to meet and negotiate in good faith with the intent to reach agreement.  The parties will use their best efforts to reach a final written agreement fully binding on both parties and consistent with the terms stated herein.  Neither party shall be bound until the final written agreement has been duly executed. Prior to signing the Agreement, Fred asked Dunkin's representative about the last line, which he didn't remember seeing before.  He was given assurances that it was "just boilerplate that the lawyers made us put it in."  A week after entering into the Agreement, Fred had heard nothing from Dunkin, and Fred reached out again to Dunkin's representative to check on progress towards the final agreement.  The representative responded, "We are just dotting i's and crossing t's over here.  We are moving forward.  Not to worry.  We have a good track record with you.  We just have some new management personnel on board, and it's taking a little longer to get them up to speed on our process." Just as he had before choosing locations for his previous franchises, Fred hired a consultant to research the right location for his new franchise prior to entering into the Agreement with Dunkin.  In connection with that research, he paid the consultant $5000.  After entering into the Agreement and after his reassuring phone conversation with Dunkin's representative, Fred entered into written contracts with an architect and interior designer to help with the renovations of the interior of the space he planned to use for the new franchise, which previously had been a small restaurant.  He also paid a $3,000 non-refundable deposit to secure a five-year lease on the space.   Three weeks after his last conversation with Dunkin's representative, Fred received a letter from Dunkin informing him that, due to a new policy against allowing one franchisee control too many stores in a region, Dunkin could not permit him to own a fourth franchise in Oklahoma.  Fred sues Dunkin for breach of the Agreement.  Answer the following questions: 1.    Is Dunkin bound by the Agreement?
