Pinnаcle Envirо Sоlutiоns, Inc. v. Mаgnа Components, LLC; J.Q. Jones United States District Court for the District of East Carolina Your client, Magna Components, LLC, has been sued in federal district court in East Carolina by a former customer, Pinnacle Enviro Solutions, Inc. Pinnacle is also suing Magna's president, J.Q. Jones (whom you also represent) as a co-defendant. Pinnacle is an East Carolina corporation with its headquarters near Capital City, East Carolina. It is a waste collection and recovery firm that sorts recyclable items and materials from trash in order to resell them. Magna is an Arizona limited liability company (LLC) owned by its five members, one of whom is its president, J.Q. Jones. Jones and two more of the members are domiciled in Phoenix, Arizona; the other two are domiciled in Dallas, Texas. Magna builds and sells conveyor belts and sorting machines for the waste management industry. In early 2020, Pinnacle hired Magna to design, deliver, and install a Multiple Stream Loading System – a complex machine designed to sort recyclable from non-recyclable materials. Pinnacle originally contacted Magna at Magna's offices in Arizona. Magna then sent a team of employees, led by J.Q. Jones, to inspect Pinnacle's facility in East Carolina. The parties ultimately entered into a contract at Pinnacle's corporate office in Capital City. After the contract was signed, Magna's employees designed the components for the system in Phoenix, delivered them from Arizona to Pinnacle's facility in East Carolina, and installed them there. According to Pinnacle's complaint, the System failed to comply with the contractual specifications, and it has never worked properly since installation, forcing Pinnacle to rely on other, inefficient means of sorting recyclables as an alternative. Thus, Count One of Pinnacle's complaint asserts a claim against Magna for breach of contract, and seeks $1.1 million damages, the amount Pinnacle paid Magna for the System. Pinnacle also alleges that after the System failed to work and Pinnacle began to complain, J.Q. Jones falsely promised Pinnacle that he would send them a customized software update that would fix the problem. Pinnacle alleges that Jones never sent anything to Pinnacle, causing Pinnacle to incur business losses due to delay in finding an alternative to the System. Thus, Pinnacle also asserts tort claims for fraudulent misrepresentation against both Magna and Jones individually, seeking $300,000 damages from each. The lawsuit will likely turn on the interpretation of the parties' contract, as well as evidence about the nature and quality of the System Magna supplied to Pinnacle. The median time to trial in civil actions in the U.S. District Court for the District of in East Carolina is approximately 29 months, while for the federal district court in Arizona it is approximately 21 months. As noted above, you represent Magna and Jones. You believe it would be inconvenient to litigate in the District of East Carolina, whose courthouse is roughly 1,800 miles away from Arizona. Thus, you would prefer to litigate this action in the federal district court in Arizona if possible. (35 points) Describe the procedural method you would use to accomplish your goal. Evaluate how likely your strategy is to succeed, explaining how a court would be likely to analyze the legal questions raised by the attempt.
