Diаne аnd Debbie decided tо gо intо business together mаnufacturing and distributing commercial grade shipping containers for oceangoing merchant vessels.  At the time of their decision, both had decades of experience in overseas shipping. They decided to call their business D&D Shipping Corporation (“D&D”) and hired a lawyer, Larry, to form their new corporation and draw up their initial articles and bylaws. Diane and Debbie both agreed they would be co-equal 50% shareholders and serve as the corporation’s only two directors. Diane agreed to serve as president and Debbie agreed to serve as secretary and treasurer.   Diane and Debbie held a meeting at Larry’s office, first as shareholders to elect themselves as the corporation’s directors, and then as the directors to elect themselves as officers. Larry attended the meeting with Diane and Debbie and told them he would prepare the minutes reflecting their resolutions and include them with their corporate notebook in which he would also include their articles and bylaws as well as a stock ledger and their share certificates.  Larry forgot to send them their corporate notebook, however, and business got so busy from inception that neither Diane nor Debbie noticed. Eight years later, Diane and Debbie were served with a lawsuit by one of their suppliers, Plastic Corporation, alleging breach of contract. The two-million dollar lawsuit named D&D with whom Plastic Corporation had contracted, but it also named Diane and Debbie individually because, it turned out, Larry also forgot to file D&D’s articles with the Secretary of State. Moreover, one of D&D’s employees, Preston, was seriously injured when he slipped and fell in the company’s warehouse and fractured his spine. Preston has now filed a negligence lawsuit against D&D as well as against Diane as the company’s president. Discuss Plastic Corporation’s lawsuit including defenses the defendants might raise.
