QUESTION 1 – 8 Pоints Melissа оwned аn аccоunting business in Santa Fe, New Mexico called “Accurate Accountants.”   Melissa desired to sell her business.   After extensive negotiations, Melissa and Finn entered into a contract for the sale of Accurate Accountants to Finn.  As part of the sale of the business Finn demanded that Melissa agree to the following provision:       “Melissa agrees that she shall not perform accounting services for a period of 10 years from the date of this agreement within a 75 mile radius of the current location of Accurate Accountants’ office in Santa Fe, New Mexico and will not solicit any of Accurate Accountants current customers.”      In order to determine the price that she should sell her business for, Melissa obtained a market survey that she could present to any prospective buyer.  The market survey determined that 90% of Accurate’s clients come from within a 60 mile radius of Accurate’s office location.  Finn and Melissa agreed on a purchase price for the business of $1.2 million, which was determined as follows:  $200,000 in equipment and cash; $500,000 in accounts receivable; and $500,000 in goodwill including the existing customer lists, business name, and other intellectual property.  Finn and Melissa closed (consummated and concluded) the sale of the business sale on October 30, 2021.  On March 1, 2022, Finn learned that Melissa was in the process of opening up a new accounting office just 40 miles from Accurate’s offices in Santa Fe.
