COSO lists Principle 2 in the Cоntrоl Envirоnment: Principle 2. The boаrd of directors demonstrаtes independence from mаnagement and exercises oversight for the development and performance of internal control.   The annual report of Next Meats Holdings, Inc, 2021-08-13, described their internal control over reporting as ineffective.  They stated that the specific issues were: lack of a majority of outside directors on board of directors, resulting in ineffective oversight in the establishment and monitoring of required internal controls and procedures lack of an audit committee that they had inadequate compensating controls, Required: 1. Next Meats mostly had their own company executives as the board of directors, "lack of a majority of outside directors." How does that make it difficult for the board of directors to enact Principle 2? 2. Next Meats lacked an audit committee. What activities would an audit committee have that would affect internal control? 3. Next Meats had inadequate compensating controls.  If one internal control is ineffective or not possible to implement, there are frequently other types of controls possible that will serve a similar purpose.  For example, if you can't prevent an error, a compensating control might be implemented to detect the error.  Is there a compensating control for an audit committee?  [I'll give you the example of a whistle-blowing process. Could a whistle-blower be a compensating control for a particular audit committee activity?  Feel free to pick another example of a possible compensating control.  I'm just suggesting whistle-blowing as an example .]
