Attоrney Andrew is а sоlо prаctitioner. Chelseа, a financial analyst at ABC Corporation, comes to him for legal advice. She is concerned about potential liability arising from insider trading. At the initial consultation, Chelsea shares: “ABC is about to announce a major government contract. I didn’t trade myself, but I told my boyfriend, Chris. I told him not to do anything with that information though.” Andrew advises her to keep the information confidential and warns her insider tipping is illegal and subject to fines and imprisonment if implicated by the SEC. Unbeknownst to Andrew, his spouse Attorney Allie, a partner at BigLaw LLP, has just been assigned to represent ABC Corporation in connection with the SEC investigation of trades around this same contract announcement. That evening at dinner, Allie casually mentions to Andrew: “We just got a new ABC matter. One of the people we are investigating is Chelsea – isn’t you’re your client? Do you know anything about it?” Andrew responds professionally: “I cannot reveal client confidences.”  But then—trying to be a helpful husband—he adds: “Off the record, she’s nervous because she may used insider information for her boyfriend’s financial benefit. Would you pass the potatoes?” The next day, Allie immediately reports this statement to ABC’s general counsel, who immediately launches an investigation on Chelsea and Chris. Two days later, Chris, Chelsea’s boyfriend, contacts Andrew.  He says he has not yet been accused of wrongdoing but wants advice about the ABC investigation.  He believes Andrew is representing both him and Chelsea. After a brief consultation, Andrew agrees to represent Chris.   Chris then reveals: “I traded only after Chelsea tipped me about the contract. I’m afraid the SEC will find out. I’m willing to cooperate— even if it means Chelsea goes down. Just make sure I’m good.” Chelsea later calls Andrew frantically: “Chris is being investigated!  If he gets in trouble, ABC will assume I tipped him and I’ll be in trouble too. You represent both of us, right?”  Andrew reassures her that he’s got both of them – he’ll “deal with the SEC with improvised facts”. Chelsea and Chris’s stories clearly conflict and the SEC is actively investigating both of them.
