Musk recently closed the $44 billion deal to buy the social media service, and immediately began cleaning house, with at least four top Twitter executives — including the chief executive and chief financial officer — getting fired on the day of acquisition. Last week, Yoel Roth, Twitter’s head of trust and safety warned that changes are coming and resigned. Recently, a group of shareholders had brought a derivative suit, alleging breaches of fiduciary duties on the part of a majority of the current 7-person board. Twitter’s articles of incorporation allow the board to have up to 11 members, so the current board passes a resolution to expand the size of the board to 9.  The board promptly fills the two new vacancies by appointing Charles Korsmo (a law professor at CWRU Law) and Norman Veasey (a retired Delaware judge) to the board.  None of the two have had any prior dealings with Twitter or any of the other members of the board. The Twitter board of directors then creates a special litigation committee, and delegates to it the full powers of the board to investigate the claims, to make a recommendation as to whether a lawsuit is in the best interests of the corporation, and to manage the litigation on behalf of the corporation.  The board appoints the two new members to the committee.  After an exhaustive investigation lasting ten months, and resulting in a 1000 page report, the committee determines that the allegations are insubstantial, and that a lawsuit would not be in the best interests of the corporation.  The committee, acting on behalf of the company, files a motion in the New York Court asking the judge to dismiss the complaint. Is a judge likely to grant the special committee’s motion?
