Killian Karter is an officer, V.P. of Acquisition, at Glory Linens And More Corporation, which manufactures and sells bedroom and bathroom linens (sheets, towels, etc.). Glory Linens And More is incorporated in, and does business in, Hendersonville, Tennessee. While at a product idea conference in Nashville, Filip approaches Karter with a new product idea – a self-drying towel – and Karter states that Glory Linens And More would be interested. However, rather than purchasing the patent from Filip and presenting the idea to the Glory Linens And More board, Karter secretly sends the sample self-drying towel to a foreign country, has it copied and manufactured, puts a new name on the towel, and sells it under the corporate name Karter Incorporated. Killian Karter has committed the tort of patent infringement, along with, perhaps, other violations of the law. Explain (name and define) TWO specific duties of loyalty, that we discussed in class that Killian Karter has violated. Identify and define each duty violated and explain how that duty was violated? Proper citation to the textbook is required. Filip decides to sue Karter Incorporated for theft and patent infringement, and wins a $1.2 million judgment, then asks the court to hold Karter personally liable by piercing the corporate veil. During discovery, Filip learns that Karter Incorporated maintains no assets, and seems to be used simply for Karter to collect profits from the sale of the towel, which he then transfers to his personal checking account. RULES/APPLICATION/CONCLUSION: YOU ARE THE JUDGE. Will you hold Karter personally liable? Why, or why not? Identify the rules you are applying and your response must include case law support. Your answer must identify a relevant case (by full name and year decided) that we discussed in class during Chapter 18 lectures, that would be binding on this court in this case when writing your answer. Then, your answer must show how the facts and holding (not the outcome, but the rule of law the court created) of that case supports your conclusion/holding as to whether Karter will be held personally liable. Proper citations to the textbook and the case are required (see instructions above for proper citation format).
