Jоhn оwns аn аntique аutоmobile business and buys, refurbishes, and resells classic cars and trucks. John bought a 1963 split window Chevrolet Corvette that was in fair shape but needed much restoration. John decided his business was too busy to properly restore the Corvette so he decided to offer it to a friend who also restored cars on the side but not as a business. On Monday July 10, John texted George, his friend, and told him about the car and asked if he would like to buy it for $30,000. George knew he could sell such a car for at least triple what John was asking if he restored it properly and he had never seen one being offered for less than $45000. George called John and said all he had to do was raise the $30000 in the next day or two. He told John he knew he could restore it and sell it for at least $85,000. George restored cars on the side out of his garage and probably restores 3 per month although he never got around to officially opening a licensed business. John said to George on that call he would give George until Friday to decide. On Tuesday, George texted his friend, John and said he was short of cash and didn’t know if he could come up with $30000 in time but was working on it. John said via text, “if you can come up with the $30000 just let me know as soon as possible but Friday latest. I would sell it to you for that amount. Thanks, John.” On Wednesday, John had a call from a buyer, Peyton, who was in the market for just such a Corvette who said he was willing to pay “top dollar” for such a car. He said he would pay $40000 as soon as he got there and that he would be there early Thursday. John texted George on that Wednesday and said “he had another buyer on the hook who was coming to look at it and that the new buyer definitely had the money and was willing to pay more.” He told George in the text on Wednesday that if George “would tell him with certainty by noon today that he would buy Friday that he would hold it for him but if he didn’t hear he assumed he could sell to Peyton Thursday.” John did not hear back until Thursday. On Thursday, George scraped up the $30000 and mailed John a check with the included language on a piece of paper: “I agree to buy the Corvette for $30000.” He did not respond to the text until Thursday at 2pm because he did not see it. He doesn’t often check his texts. On Thursday at 11am, Peyton showed up and bought the Corvette and took delivery. George responds Thursday via text after he mailed the check and told John that he had mailed the check and argued that he had a contractual right to buy until Friday per their agreement. George believes he should be compensated for his loss for the amount of the fair market value of a restored corvette. Discuss whether George has a claim for damages against John for breach of contract for the sale. For part two, please assume for sake of argument George wins the suit for the Corvette. Explain what the damages would be in this case (value of the contract for the unrestored car, fair market fully restored, etc.).
