(WPS) is а new company.  It has had the good fortune to develop a remarkably efficient system to generate electricity from wind power.  WPS has designed the system to be installed inexpensively in a windmill at the time the windmill is constructed.            WPS has now won its first big contract to supply the system to an electric utility.  The utility, Great Plains Electric, Inc. (GPE), will use the WPS system for its next generation of electricity-generating windmills, to be constructed over a wide area of the southern Great Plains of the United States.  GPE was pleased to find the WPS system because of the significant pressure applied to it by utility regulators in the states it serves; regulators want GPE to triple the amount of electricity it generates from wind power over the next five years and have tied the goal to their approval of an increase in GPE's electricity prices over that period.  GPE plans to construct 500 windmills during the first year of its contract with WPS.            A key component of the WPS system is a micro-processor called the Q25, which WPS designed itself.  WPS won't make the Q25 component, however.  Instead, WPS has arranged for Samsung, Inc., a well-established semi-conductor manufacturer, to make the component according to WPS' specifications.            Samsung will make the Q25 component at its plant in Indonesia, which is the only fabricating plant in the world with the sophisticated equipment necessary to make the component.  The plant was hugely expensive and time-consuming to build:  construction cost $10 billion and took five years to complete.  Both the cost and the time is typical for such plants.  Samsung manufactures a variety of micro-components at the plant, both for itself and for its customers. Although Samsung has other plants (including several in the United States), none has the equipment necessary to make the Q25 component.            The contract between WPS and GPE includes the following points:       WPS is to ship 25 systems in each of the contract's first four months, and 50 systems per month thereafter.  The term of the contract is five years.    GPE will pay for the systems 30 days after each delivery.  The price per system is given.    WPS' obligation to make and deliver the systems to GPE depends on its supply of Q25 components.  WPS will seek in good faith to have at all times a sufficient supply of Q25 components.    GPE's obligation to pay for WPS systems is subject to GPE's satisfaction with the systems upon delivery.            The contract between WPS and Samsung includes the following points:      Samsung is to manufacture the Q25 component according to WPS' specifications, which are attached.     Deliveries of the Q25 components are keyed to the quantities and times given in WPS' contract with GPE.    WPS will pay for each shipment of Q25 components 30 days after it receives payment from GPE for the systems that incorporate that shipment's components.  (This means that Samsung will typically receive payment from WPS 60 days after each delivery by Samsung, and the price that WPS is to pay under the contract reflects this period of delay.)    The contract states: "The parties' performance under this Agreement is subject to acts of God, war, government regulation, terrorism, disaster, strikes, civil disorder, curtailment of transportation facilities, or any other emergency beyond the parties' control, making it inadvisable, illegal, or which materially affects a party's ability to perform its obligations under this Agreement.  The occurrence of any such emergency shall excuse the parties' performance for the duration of the emergency, provided that the parties' obligations to perform will terminate altogether if the emergency lasts for more than 90 days."            For the first four months of the arrangement, things appeared to go well.  Samsung made the Q25 components required by WPS and shipped them to WPS, WPS incorporated the components into its wind power electricity generating systems and shipped the completed systems to GPE, and GPE incorporated the systems into its new windmills.            But then, things went wrong.  Electrical fires broke out in three of the first 100 GPE windmills outfitted with the WPS system.  Fortunately, no one was hurt, but the failure rate of 3 percent was unacceptable to GPE.  GPE notified WPS of the fires and suspended payment for all WPS systems it had received to date.            WPS immediately examined the installed systems in question.  Although it couldn't be sure without more sophisticated testing equipment than it possessed, WPS believed the problem lay with the Q25 component manufactured by Samsung.  Either the design of the component was faulty or Samsung had failed to manufacture a component that met WPS' specifications exactly.  WPS notified Samsung that WPS was rejecting the most recent shipment of Q25 components, revoking its acceptance of all previous shipments of Q25 components, and would not pay for any of the components.            To make matters worse, an armed separatist group – the Irian Jaya Front (or IJF) resumed its operations against the Indonesian government.  Although the Samsung plant was far from the province of Irian Jaya and the IJF had never conducted operations outside its home province before, the Front attacked several military bases located in other Indonesian provinces and launched an attack on Samsung's plant, which they erroneously believed was owned by the Indonesian military.  A series of explosions completely destroyed the facility.            Samsung notified WPS that Samsung's performance under the WPS-Samsung contract was now impossible and, given the time required for rebuilding the plant, that Samsung was cancelling the contract.  WPS, in turn, notified GPE that its own performance would be temporarily impaired as it sought an alternative manufacturer of its Q25 component.  Concerned about any delay in the construction of its new windmills, GPE sought a credible plan from WPS for the resumption within 30 days of WPS' performance under the GPE-WPS contract, with a failure rate acceptable to GPE.            You are a member of GPE's legal department, which is now mulling over what else to do.  No one expects WPS to line up an alternative manufacturer of the Q25 component quickly, much less to present GPE with a realistic plan to resume and improve its performance under the GPE-WPS contract.  The delay in building out GPE's next generation of windmills may well cause the company to miss the regulatory targets set by its state utility regulators and to suffer the financial penalties associated with the miss.  WPS may have breached its contract with GPE, but GPE can't expect WPS to pick up GPE's loss.  WPS' only asset is its wind power technology the value of which is now in doubt, plus any contractual claim that WPS might have against Samsung.  Samsung is a more attractive defendant for picking up GPE's possible loss, given its substantial financial resources.            Essay Question Number 2:  GPE's general counsel now
