One afternoon, her longtime friend, Mark Benson, approaches her about representing his technology startup company, XYZ Corp., in a complex intellectual property lawsuit. Sarah has never handled intellectual property litigation before but tells Mark, “Litigation is litigation. I’ll figure it out as I go.” Mark wants immediate representation because a competitor, ABC Corporation, has threatened suit. Sarah agrees to represent the company and begins work that same day. She tells Mark that her fee will be $500 an hour. Mark agrees. Sarah immediately begins work without any further paperwork. Several months later, Mark has paid Sarah $5,000 but he tells Sarah that the XYZ Corp. is short on cash and it may not be able to pay legal fees. Sarah proposes a solution. She offers to purchase a 20% ownership interest in XYZ at a discounted price and apply future legal fees against the value of that ownership interest. Sarah drafts the agreement and tells Mark, “You don’t need another lawyer looking at this – we trust each other.” Mark signs immediately. While handling Mark’s matter, Sarah continues to work on her normal family law cases. She agrees to represent Jim in his divorce case. As part of Sarah’s normal process, she reviews Jim’s financial documents. Sarah discovers that Jim’s wife is the owner of ABC Corp. and Jim is an employee there.
